This document contains specific terms of use of Standalone applications (“the Service”) and is an integral part of Nebius Services Agreement (“Agreement”) and Service Terms set forth at https://docs.nebius.com/legal/service-terms. Capitalized terms used herein but not defined herein shall have the meanings set forth in the Agreement and Linked Documents.

1. Functional Features of the Service

1.1. Nebius provides Customer with the Service that allows Customer to remotely operate and use Applications on cloud resources of the Platform. 1.2. Functional Features of the Service: 1.2.1. Configure or select predefined resources for Application. 1.2.2. Deploy Applications to Platform infrastructure. 1.2.3. Delete deployed Applications. 1.2.4. other functional features of the Service, which Nebius makes available to Customer. Functional features of the Service are described in Documentation on Site. 1.3. Nebius provides Customer with regular maintenance and support to ensure optimal performance, security, and reliability of the Platform infrastructure for the Service. However, technical support and maintenance for specific Applications deployed through the Service are governed solely by the respective Rightsholder’s License Agreement. 1.4. Service Level is determined for the Service in accordance with SLA. The SLA applies exclusively to the Platform infrastructure and Service availability, and does not extend to the performance, availability, or functionality of individual Applications, which are governed by the respective Rightsholder’s License Agreement. 1.5. In no event shall Nebius be liable for Applications available through the Service, except when Nebius is expressly identified as the Rightholder and is a direct party to the respective Application’s License Agreement. 1.6. For the purposes of the Nebius Services Agreement, Applications made available through the Service shall be considered Third-Party Services as defined in the Nebius Services Agreement, except where Nebius is expressly identified as the Rightsholder. Accordingly, the terms, limitations, and disclaimers applicable to Third-Party Services under the Nebius Services Agreement shall apply to all such Applications.

2. Pricing

2.1. The use of the Service is chargeable. 2.2. Service Fee for the Service is determined as per Service Rates and billing units specified on Site. Nebius may change Service Rates as prescribed by Agreement. 2.3. Service Fee for the Service depends on the storage volume, computing resources allocated, and additional resources consumed. 2.4. For paid Applications, Nebius is authorized to collect payments either on behalf of the respective Rightsholders or when Nebius acts as the Rightsholder. Such Application payments are separate from Service Fees. 2.5. Nebius may from time to time provide Customer with additional functional features of the Service for an additional fee.

3. Customer Obligations and Support Limitations

3.1. Customer must comply with all applicable License Agreements of each Rightsholder for Applications used through the Service. By deploying an Application, Customer enters into a direct legal agreement with the respective Rightsholder and agrees to be bound by such Rightsholder’s License Agreement. 3.2. All technical support, troubleshooting, and Service Level Agreement obligations (if applicable) related to specific Applications are governed exclusively by the respective Rightsholder’s License Agreement. Nebius’s support obligations are limited to: (a) providing access to Application logs through the Platform interface; and (b) maintaining the underlying Platform infrastructure. Nebius does not provide any technical support, warranties, or guarantees regarding the functionality, performance, or availability of any Applications.

4. Definitions

Standalone Applications means a Service that manages cloud resources of the Platform in order to provide Customers with access to and the ability to run Applications via Platform. Application means third-party software program or container image available through the Service that may be deployed by Customer within Standalone Applications. Applications are provided with preconfigured settings and are made available by their respective Rightsholders through the Platform. License Agreement means a legally binding agreement between the Rightsholder and a Customer (which may take the form of an End User License Agreement (EULA) or Terms of Service (ToS)) that provides such Customer with a non-exclusive license to use the applicable Application on Platform. Rightsholder means a third-party entity that owns, licenses, or otherwise has the legal right to make an Application available through the Service.
