These AI Features Terms (the “AI Terms”) are incorporated into and form part of the Nebius Services Agreement available at https://docs.nebius.com/legal/agreement (the “Agreement”) between Nebius and Customer, and govern access to and use of the artificial intelligence functionality, features, models, or related services made available within or in connection with the Platform that are not subject to separate terms of service (collectively, “AI Features”). Capitalized terms used but not defined in these AI Terms have the meanings given in the Agreement.

1. Definitions

“AI Features” means the artificial intelligence capabilities and services made available by Nebius within or in connection with the Platform that use AI Models to process Customer Input to generate Output or perform Operations. “AI Model” means a computational algorithm designed to perform specific tasks by processing data to produce outputs, and which underlies the functionality of Nebius’s AI Features. “EU AI Act” means “Regulation of the European Parliament and of the Council laying down harmonised rules on artificial intelligence (Artificial Intelligence Act) and amending certain Union legislative acts” COM/2021/206. “Nebius Models” means AI Models that are hosted by Nebius. “Customer Content” means Input and Output to the extent permitted by applicable law. “Input” means prompts, instructions, code, data, or any other content provided by Customer or its Users for processing by the AI Features to generate Output. “Operations” means actions performed by AI Features to manage, retrieve, create, or modify cloud resources. “Output” means code, text, images, recommendations, analyses, or any other data generated by the AI Features in response to Input provided by the Customer through the AI Features.

2. Scope of Use

2.1. Unless otherwise stipulated in an Order Form, subject to Customer’s compliance with the Agreement and these AI Terms, Nebius grants Customer the right to access and use the AI Features during the term of the Agreement. 2.2. Optional Use of AI Features. Customer retains the discretion to choose whether to use the AI Features. If Customer chooses not to use the AI Features, Customer remains bound by these AI Terms with respect to any prior use of the AI Features, and such decision will not affect the validity or enforceability of the remaining provisions of the Agreement.

3. Rights and Ownership

As between the parties and to the extent permitted by law, Customer retains ownership of Customer Content, including Input and Output. Customer acknowledges that Outputs may be not unique and other users of the AI Features may receive the same or similar Outputs. Customer is solely responsible for obtaining all necessary rights, approvals, and consents to provide Input and for the processing of Input by the AI Features.

4. Restrictions

The Customer will not:
  • Use the AI Features for any illegal, unlawful, or prohibited purposes, including but not limited to providing an illegal service, terrorism, hate speech, child sexual abuse material, violating consumer protection rights, privacy and data protection rights, or advertising laws, or causing harm to third parties or Nebius.
  • Use or access the AI Features to develop a product or service that competes with the AI Features or engage in competitive analysis or benchmarking.
  • Reverse engineer, decompile, disassemble, modify, or create derivative works from the source code underlying the AI Features.
  • Use the AI Features as or in a high-risk AI system or in prohibited AI practices as defined in the EU AI Act.
  • Transfer, distribute, resell, lease, license, or assign the AI Features, or offer the AI Features on a standalone basis.
  • Make API requests that exceed the specified limits on number and frequency, impose an unreasonable or disproportionately heavy load on the API or AI Features, or negatively impact the ability of others to access or use the API or AI Features.
  • Attempt to probe, scan, or test the vulnerability of the AI Features, breach security or authentication measures without proper authorization, or intentionally render any part of the AI Features unusable.
  • Use the AI Features in violation of applicable laws or outside the scope expressly permitted by these AI Terms.

5. Data Use and Privacy

5.1. Processing of Input and Output. Nebius processes Input to generate Output and to operate, maintain, and provide the AI Features. Nebius may process Input and Output to improve the AI Features, provided that any such data is processed in a form that does not contain any Personal Data or confidential information. Nebius will not use Customer Content to train Nebius Models. Nebius may collect usage data and technical logs relating to Customer’s use of the AI Features for security, support, billing, subject to the Agreement. 5.2. Processing of Personal Data. In connection with the Customer’s use of the AI Features, Nebius processes certain technical metadata that may constitute personal data under applicable data protection laws, including the GDPR. Such metadata may include log data, and IP addresses. This processing is necessary to ensure the proper functioning, security, and integrity of the AI Features. 5.3. Further Information. 6. Disclaimers

6.1. Customer Acknowledgements. Customer acknowledges and agrees that (a) Output and Operations may be inaccurate, incomplete, unreliable, insecure, or offensive; (b) Customer will evaluate all Output and Operations before relying on or using them; (c) Customer is responsible for ensuring that any Output incorporated into Customer’s products, services, or materials complies with applicable laws and does not infringe third-party intellectual property rights or other rights; (d) Customer is solely responsible for all Operations it authorizes and any consequences thereof; and (e) the AI Features are provided on an “as-is” and “as-available” basis with respect to Output accuracy and completeness. 6.2. Due to the nature of the AI Features, Nebius does not represent or warrant: (a) that Output does not incorporate or reflect third-party content or materials, or (b) that Output will not infringe third-party intellectual property rights. Customer assumes all responsibility for its use of the AI Features and Output, and Nebius shall not be liable for any damages arising from or related to such use. 6.3. Claims of intellectual property infringement or misappropriation by Output are not included in the covered third-party claims for indemnification by Nebius under the Agreement.

7. Miscellaneous

7.1. Nebius may update these AI Terms from time to time. Updates will be communicated consistent with the notice provisions of the Agreement and will become effective as stated in such notice. Continued use of the AI Features constitutes acceptance of the updated AI Terms. 7.2. In the event of any conflict or inconsistency between these AI Terms and the Agreement, these AI Terms control with respect to the AI Features. Otherwise, the Agreement remains in full force and effect.
